ZEEGRIJS — TERMS AND CONDITIONS

Welcome to ZEEGRIJS. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and ZEEGRIJS ("we," "us," "our," or "ZEEGRIJS"), governing your access to and use of the website located at www.zeegrijs.com (the "Site") and your purchase of the handmade jewelry products ("Products") offered for sale thereon. These Terms expressly incorporate by reference our Privacy Policy, Cookie Policy, Copyrights Policy and our Shipping & Refund Policy.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE OR PLACING AN ORDER. BY ACCESSING THE SITE, CREATING AN ACCOUNT, OR COMPLETING A PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE SITE AND NOT PLACE AN ORDER.

1. Definitions
"Site" refers to www.zeegrijs.com, including all subdomains, content, functionality, and services offered thereon.
"Product(s)" refers to any physical item offered for sale on the Site.
"Order" refers to your formal offer to purchase a Product from us.
"Content" refers to all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, design, structure, selection, coordination, expression, "look and feel," and computer code associated with the Site.

2. Agreement to Terms
Your use of the Site and your purchase of any Product is expressly conditioned upon your acceptance of these Terms. You agree that these Terms form the entire agreement between you and ZEEGRIJS and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

3. Modifications to Terms
ZEEGRIJS reserves the unilateral right, at our sole discretion, to update, amend, or modify these Terms at any time. All changes are effective immediately upon posting to the Site. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You are expected to review this page periodically.

4. Eligibility and Authority
The Site is offered and available to users who are 18 years of age or older and who reside in jurisdictions where our Products may be lawfully sold. By using this Site, you represent and warrant that you are of legal age to form a binding contract and that you meet all foregoing eligibility requirements. If you are acting on behalf of a corporate entity, you further represent and warrant that you possess the authority to bind such entity to these Terms.

5. Account Registration and Security
You may be required to register an account to access certain features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for safeguarding your account password and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your account.

6. The Order Process: Acknowledgment of Customization
All ZEEGRIJS Products are made-to-order, bespoke items handcrafted subsequent to the placement of your Order. Your submission of an Order constitutes an offer to purchase a Product. All Orders are subject to our acceptance. We may decline to accept or may cancel any Order, before or after acceptance, for any reason, including but not limited to limitations on material availability, errors in Product description or pricing, or suspected fraud. Our acceptance is expressly conditional on your assent to these Terms and is only confirmed upon our dispatch of the Product.

7. Pricing and Payment Terms
All prices are stated in United States Dollars (USD). You agree to pay the full price for any Products purchased at the time of Order, including all applicable sales, use, VAT, or similar taxes (which we will calculate and add at checkout where required by law). You are solely responsible for any customs duties, import taxes, or tariffs levied by your destination country. Payment must be made via one of our designated third-party payment processors. You represent and warrant that you have the legal right to use any payment method you provide.

You agree to contact us directly at Admin@zeegrijs.com to resolve any billing issues or disputes before initiating a chargeback or dispute with your payment provider. The filing of an illegitimate chargeback, where the purchase was authorized and the Product was delivered as described, constitutes a material breach of these Terms. ZEEGRIJS reserves the right to challenge such chargebacks and may pursue available legal remedies. We are not liable for any loss arising from the unauthorized use of your payment method.

8. Intellectual Property Rights
The Site, all Content, and the underlying designs of the Products are the exclusive property of ZEEGRIJS and its licensors and are protected by copyright, trademark, trade dress, patent, and other intellectual property laws. The "ZEEGRIJS" name and mark is a trademark (™). No right, title, or interest in any such property is granted to you. You are expressly prohibited from reproducing, distributing, creating derivative works from, or commercially exploiting any Content or Product design without our prior written consent.

9. Limited License to Use Site
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for its intended purpose: the personal, non-commercial shopping and viewing experience. This license does not include any resale or commercial use of the Site or its Content.

10. User Conduct and Prohibited Uses
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site: (i) in any way that violates any applicable law or regulation; (ii) to engage in any fraudulent or deceptive activity; (iii) to impersonate or attempt to impersonate ZEEGRIJS, an employee, another user, or any other person or entity; (iv) to engage in any conduct that restricts or inhibits anyone's use of the Site; or (v) to introduce any malicious software or code.

11. Disclaimer on Product Appearance
Every Product is handmade by our artisans. You acknowledge and agree that variations in finish, texture, patina, shape, and size are inherent characteristics of the handmade process and are not defects. These variations are celebrated and confirm the unique, non-mass-produced nature of each piece. Computer monitor settings may cause variations in the color of Products as displayed on the Site.

12. Shipping and Risk of Loss
All Orders are shipped via a third-party carrier. Any shipping timelines provided are estimates only and are not guaranteed. Title to and risk of loss for the Products transfers to you upon our delivery of the package to the carrier. You are responsible for filing any claims for lost or damaged shipments with the carrier directly.

13. No Returns; Final Sale
13.1 Policy of Final Sale. DUE TO THE BESPOKE, MADE-TO-ORDER NATURE OF OUR PRODUCTS, ALL SALES ARE ABSOLUTELY FINAL. ZEEGRIJS DOES NOT ACCEPT RETURNS, OFFER EXCHANGES, OR PROVIDE REFUNDS FOR ANY REASON OTHER THAN A NON-CONFORMING MANUFACTURING DEFECT (AS DEFINED IN SECTION 13.3) OR A SHIPMENT ERROR SOLELY ATTRIBUTABLE TO ZEEGRIJS (E.G., SHIPPING THE INCORRECT ITEM).

13.2 Acknowledgment of Customization & Waiver of Right of Withdrawal.
(a) You acknowledge and agree that by placing an Order, you are commissioning ZEEGRIJS to create a Product customized to your specifications. Each Product is handcrafted uniquely for you based on your selection of metal, design, and size.
(b) For Consumers in the European Union and the United Kingdom: You expressly agree that the nature of our Products qualifies them as "goods made to the consumer's specifications or clearly personalized" within the meaning of Article 16(c) of Directive 2011/83/EU on consumer rights and Regulation 28(1)(b) of the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. By virtue of this, and as confirmed by your affirmative acceptance of these Terms at checkout, you lose your statutory right of withdrawal once the contract is formed. You will not have a 14-day period to cancel the contract or return the Product for a refund simply because you have changed your mind.

13.3 Limited Exception for Non-Conforming Defects. This final sale policy does not affect your legal rights relating to faulty or non-conforming goods. "Non-Conforming Manufacturing Defect" means a flaw that arises from our manufacturing process that renders the Product fundamentally different from what was described and agreed upon, and which a reasonable consumer would not expect given the handmade nature of the goods. Inherent and minor variations in finish, texture, patina, form, or colour, which are natural and celebrated characteristics of handmade artisan work, are expressly excluded from this definition and are not considered defects.

13.4 Procedure for Claims. Any claim under the limited exception in Section 13.3 must be initiated by contacting us at Admin@zeegrijs.com within seven (7) calendar days of you receiving the Product, accompanied by detailed photographs and a written description of the alleged defect. We will review the claim and, at our sole discretion, determine if a remedy is appropriate.

14. Limited Warranty and Disclaimer
TO THE FULLEST EXTENT PERMISSIBLE BY LAW, ZEEGRIJS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE PRODUCTS ARE PROVIDED ON “AS IS" AND "AS AVAILABLE" BASIS. ZEEGRIJS DOES NOT WARRANT THAT THE PRODUCTS WILL MEET YOUR SPECIFIC REQUIREMENTS THAT THEIR USE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THEY WILL NOT CAUSE ALLERGIC REACTIONS.

15. Limitation of Liability
IN NO EVENT SHALL ZEEGRIJS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SITE OR PRODUCTS. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PRODUCTS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE LIMITED TO THE AMOUNT YOU ACTUALLY PAID TO ZEEGRIJS FOR THE PRODUCTS GIVING RISE TO THE CLAIM.

16. Indemnification
You agree to defend, indemnify, and hold harmless ZEEGRIJS, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or Products.

17. Dispute Resolution; Binding Arbitration
Informal Negotiations: As a condition precedent to initiating any formal proceeding, the Parties agree to first attempt to negotiate any dispute informally for a period of at least thirty (30) days following written notification of the dispute.
Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms shall be settled by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures, rather than in a court by a judge or jury. The arbitration shall take place in New York County, New York. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.

YOU UNDERSTAND THAT YOU ARE WAIVING THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

Exceptions: This arbitration agreement does not preclude either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for actual or threatened infringement or misappropriation of intellectual property rights.

18. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. For any claims not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in New York County, New York.

19. Force Majeure
ZEEGRIJS shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation facilities, fuel, energy, labor, or materials, or pandemics.

20. Severability
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

21. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. ZEEGRIJS may freely assign or transfer these Terms without restriction.

22. No Waiver
No failure or delay by ZEEGRIJS to exercise any right or remedy provided under these Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy.

23. Notices
All notices and communications required or permitted under these Terms shall be in writing and deemed given when delivered personally, by a nationally recognized overnight courier service, or by certified or registered mail (return receipt requested) to our contact address as listed on the Site.

24. Electronic Communications
By using the Site, you consent to receive all communications, agreements, and notices from us electronically via the email address you provide or by postings on the Site. You agree that all electronic communications satisfy any legal requirement that such communication be in writing.
